These Terms & Conditions (“Terms”) govern participation in the Ilya Remodeling LLC Referral Program (“Program”). By enrolling, accessing the dashboard, or sharing your referral link or QR code, you (“Participant”) agree to these Terms in full.
1. Program Overview
The Program allows approved Participants to promote Ilya Remodeling LLC (“Company,” “we,” “our”) and earn compensation for qualifying referrals.
Participation is voluntary. The Company may accept, decline, suspend, or terminate any Participant at its sole discretion.
2. Definitions
2.1 Participant
An approved and invited participant who promotes Ilya Remodeling and receives compensation for eligible referrals.
2.2 Referral / Lead
A homeowner, agent or any prospect who submits their own home service request through the Company website using the Participant’s unique referral link or QR code.
Participant-submitted referrals are strictly prohibited (see Section 8).
2.3 Verified Referral
A referral confirmed as legitimate and within our service area through:
• A successful onsite estimate completed.
Verification also requires direct communication between the Company and the Referral.
2.4 Converted Referral
A Verified Referral that signs a service agreement.
2.5 Job Paid
A Converted Referral whose project has been completed and paid in full.
2.6 Fees Paid
A status indicating all payments to the Participant for a referral have been processed.
2.7 Referral Fee / Advertising Fee / Lead Fee
Interchangeable terms describing the fixed amount paid when a referral becomes Verified.
2.8 Commission
A percentage of the final job cost paid after project completion.
• The job cost may increase or decrease throughout the project.
• Commission is recalculated accordingly.
2.9 Repeated Referral
A customer who has used Ilya Remodeling for any prior service.
Repeated referrals:
• Are not visible on the Participant dashboard
• Do not qualify for Referral Fees
• Do not qualify for Commission
• Are never compensated under any circumstance
2.10 Participant Dashboard
An online interface showing referral history, payout information, statuses, and account updates.
The Company may improve, update, redesign, or remove features at any time.
3. Eligibility & Enrollment
3.1 Minimum Age
You must be 18 years or older.
3.2 Approval Required
Enrollment by personal invites only and is subject to Company approval.
3.3 Accurate Information Required
Participants must provide:
• Legal full name
• Accurate mailing address
• Valid contact information
• Correct tax identification information
3.4 Tax Name Matching Requirement (Critical Clause)
The Participant’s legal name must match the name provided on tax documentation.
If names do not match:
• The Company may place all payments on hold
• The Participant may be suspended or removed from the Program
• Past due payouts will remain frozen until the information is corrected and verified
4. Referral Submission Rules
4.1 Lead Self-Submitted Only
Referral must submit their own information.
Participants CANNOT provide or enter customer details, including via:
• Phone call
• SMS or text
• Email
• Social media
• Verbal communication
• Filling out the form on the customer’s behalf
• Submitting through any manual or alternative method
4.2 Attribution Permanence
Once a lead submits a request, referral ownership is permanent and cannot be reassigned.
4.3 Prohibited Assignment
Participants cannot request that a referral be manually assigned to them after the fact.
4.4 Service Area Compliance
Only referrals from Company-approved service areas are eligible.
Referrals outside service areas:
• May be declined
• Do not earn Referral Fees
• Do not earn Commission
4.5 Domain Migration Clause
The Company reserves the right to move the Program to:
• A different website
• A new domain
• A dedicated referral portal
If this occurs:
• All Participant links and QR codes will update automatically
• The dashboard will display new links
• Old links may redirect or may stop functioning
Participants accept these changes as part of Program participation.
5. Referral Status
Statuses include (but are not limited to):
• New
• Verified
• Converted
• Job Paid
• Fees Paid
• Not Interested
• No Answer
The Company may:
• Add, rename, remove, refine, or reorganize statuses
• Adjust status rules
• Improve the dashboard experience
6. Compensation
6.1 Commission
Paid after:
1. The project is completed
2. Final payment is received from the customer
3. The Participant is compliant and active
4. Tax information has been verified if exceeded $600 threshold.
Commission is calculated from the final job cost, which:
• May be updated
• May increase
• May decrease
• Affects commission proportionally
6.3 Repeated Customers (No Compensation)
No Referral Fees or Commissions are paid for:
• Returning customers
• Repeat service requests
• Former customers re-engaging for new work
• Anyone previously in the Company’s system
These customers are categorized internally as Repeated and do not appear in the dashboard.
6.4 Tax Compliance & Payment Holds
Required by Law
Participants must submit tax documentation when earnings meet or exceed $600 individually or combined.
If the Participant fails to provide accurate tax information:
• ALL payments are placed on hold
• The Company may suspend the Participant
• No compensation will be issued until identity and tax information is verified
• Failure to comply may lead to permanent deactivation
Company Right to Withhold Payments
The Company may withhold compensation:
• Until tax identity is verified
• Until discrepancies are resolved
• If information appears inaccurate, incomplete, or fraudulent
7. Participant Promotional Materials
7.1 Referral Links & QR Codes
Each Participant receives:
• A personalized referral link
• A unique QR code
Both are proprietary and subject to updates.
7.2 Business Cards
The Company may provide personalized business cards.
This service is optional and may be discontinued at any time.
7.3 Restrictions
Participants may not:
• Alter QR codes
• Create misleading promotions
• Represent themselves as employees or agents
• Promise discounts or incentives not approved by the Company
8. Prohibited Conduct
The following actions are strictly prohibited:
• Submitting referrals manually
• Providing bulk low-quality or unverifiable leads
• Attempting to manipulate referral status
• Encouraging leads to misrepresent information
• Creating fake, duplicated, or fraudulent referrals
• Using bots or automated submissions
• Posting QR codes in spammy locations
• Misrepresenting Company services
• Attempting to game tracking or attribution
Violations may result in:
• Immediate termination
• Permanent ban
• Loss of all unpaid compensation
• Legal action where permitted
9. Account Suspension or Termination
The Company may suspend or terminate the Participant account with or without notice for:
• Fraudulent activity
• Repeated unverifiable referrals
• Non-compliance with these Terms
• Failure to provide tax documentation
• Abusive or deceptive marketing
• Attempts to manipulate the Program
• Any conduct harmful to the Company
Termination does not entitle the Participant to pending or future payments.
10. Dispute Resolution & Arbitration
10.1 Mandatory Binding Arbitration
All disputes will be resolved through binding arbitration conducted by the American Arbitration Association (AAA) or a comparable service.
10.2 No Class Actions
Participants agree to:
• No class action lawsuits
• No class arbitrations
• No representative or consolidated proceedings
10.3 Governing Venue
Arbitration will occur in Northampton County, Pennsylvania.
11. Disclaimer of Warranties
The Program, dashboard, tracking system, and materials are provided “as is” and “as available.”
We do not guarantee:
• Earnings
• Referral volume
• Dashboard uptime
• System tracking accuracy
• Future availability of the Program
Participation is at the Participant’s own risk.
12. Limitation of Liability
To the fullest extent permitted by law:
• The Company is not liable for indirect, incidental, punitive, or consequential damages.
• Total liability is limited to compensation paid to the Participant in the prior six (3) months.
• The Company is not responsible for lost referrals, outages, errors, or domain changes.
13. Indemnification
The Participant agrees to indemnify and hold harmless the Company from claims arising from:
• Misrepresentation
• Program violations
• Tax filing failures
• Fraudulent referrals
• Improper promotional practices
• Misuse of Program materials
14. Modifications
The Company may revise:
• These Terms
• Compensation structure
• Bonuses
• Statuses
• Dashboard features
• Referral criteria
• Domain and technical backend
at any time.
Continued participation constitutes acceptance of all modifications.
15. Assignment
The Company may assign these Terms at any time.
The Participant may not transfer participation rights.
16. Severability
If any provision is invalid, the remaining Terms remain fully effective.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania without regard to conflicts of law.
18. Entire Agreement
These Terms constitute the entire agreement between the Participant and Ilya Remodeling regarding the Referral Participant Program.
19. Acceptance
Participation, dashboard access, or use of referral tools indicates full acceptance of these Terms.
